Adobie Audition or Sony Vegas?

  Is there a preference between the two?  And can either of them work with two video files?  I have 2 files of the same event, one with great video and great audio except the audio clips (for a second) in the most important part of the song.  And a 2nd file with OK video and pretty good audio with no clipping.  The main problem with the second video is the asshat (a professional) with the camcorder was panning around the stage when he should have been doing a close up. 

  I have 2 options.  Try to fix the audio in the first video ( Does the $99 Vegas package have the clip envelope  restoration tool?).  Or use the second video and import some of the video scenes from the first video file and sync them to the audio of the 2nd video file. 

  It can't be recorded again.  It was a musical with 30+ actors/singers on sage and a 70 piece pit orchestra.

I'd drop both files into Vegas, put it into multi-cam mode and give yourself the option of switching between the two camera angles rather than being stuck with the one shot.

I'd take a similar approach to the audio: I'd be tempted to lean on the better source but do a gradual crossfade into and out of the alternative source to patch over the section that clips. Of course, success here would depend on the two sources sounding reasonably similar but a long enough crossfade can cover up all but the worst changes in ambience/quality. I've not found a clip-restoration tool that really gives satisfactory results.

All this is pretty straightforward in Vegas.

Will the $99 Vegas do the trick? 

BTW both files are currently VOB's.  Can I just import them or should I demux them first with other software.

  Both audio mixes are different levels and one is camcorder mic and the other is a board feed.  The good audio, with the one clipping incident, is a board feed.  I only want to recover one song from the show.  If I could repair this section (the one note the singer belts), it be the best of all worlds.

You'd have to check the Sony website to make sure that the cheaper version of Vegas has the multicam facility but I'm almost certain that it does.

I've never worked with VOB files before but Vegas seems very accepting of most media files. There's a specific Youtube tutorial here that you might find helpful:

In terms of what you want to do with the audio, I did the exact same thing a few weeks ago using either Vegas or the montage facility in Wavelab. A very loud couple of strums of an acoustic guitar completely maxed out the soundboard source in a very ugly-sounding way but my ambient recording was ok - I patched in the appropriate few seconds and was very happy with the results. If you can strip the audio off your video files and post it somewhere, I'd be happy to have a try with it.

Actually, if the VOB files are small enough to up/download, I could see what I can do with the full version of Vegas 9.

Downloaded the trial version of both Vegas and Sound Forge.  I'm going to give it a try this week.  If things don't work out, I'll cut the important song from the video and put it in DropBox for you to have a look at.  It shouldn't be too big, it's not HD.
