Please bear with me.  This might be a newbie question but I could not find an answer to this. 

When you have to dither 21bit/96 kHz recording into 16bit / 44 KHz one, which process would
you usually go through first, re sampling kHz (96 to 44 kHz) or converting the bit-depth (21 to 16bit)?
and why.  Maybe there would not be much of difference but I just want to know what others do.

I just recently made the switch to 24bit recording and had to search for this answer as well.  What I gathered is that you want to do all your editing in your highest resolution.  Once everything has been done (including resampling to 44.1k), you then can dither down to 16bit.
