I just started converting all my FLAC's to MP3's for playing on my iPod Touch in my car. I don't like the FLAC player or I'd just keep them as FLACs.
Anyway, with xRecode, I can maintain directory structure, file names, tagging info, cover art etc... with no hassles. It works perfectly for the batch converting I'm doing.

Chuck -- that looks cool! -- i've been doing much the same thing using foobar2000 -- only problem is that foobar2000 won't transfer my coverart. Will xrecode perform sample rate conversions? (i.e. 48k mp3 from a 96k flac)

I don't know if it'll do that for you. But I do know if LAME can do it xRecode can too. http://xrecode.com/xrecode2/mp3/info_en.htm
I'm using the default high quality MP3 setting (around 192kbps) for my car and that sounds fine to me.
